What is Regulation D?

Reg D 506(c) is a SEC exemption that allows private companies to raise capital from accredited investors without registering with the SEC. Unlike traditional fundraising, Reg D 506(c) permits general solicitation, meaning your offering can be publicly marketed. Only accredited investors may participate. Numena verifies the accreditation status of every investor on the platform.

What regulatory filings are required?

The company must file Form ID and Form D with the SEC prior to each round and must file blue sky notices with each state in which it raises capital after the round closes. Numena handles all filings. Form ID and Form D filing costs are covered by Numena. Blue sky filing fees are paid by the issuer after the round. All filings are handled by your dedicated Account Executive.

How much can I raise through Numena?

There is no cap on the amount you can raise through a Reg D 506(c) offering. You set your own terms, minimum funding goal, and timeline.

What are the costs to raise on Numena?

Numena charges a flat quarterly or annual subscription. There are no success fees and no commissions. Certain pass-through costs such as blue sky filing fees and wire transfer fees apply.

How will I receive funds?

Investor funds are held in escrow for the duration of the offering. After a successful round closes, funds are wired directly to your company's bank account.
